1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the DomainBroker Premium SaaS platform (“DomainBroker”, “we”, “us”, or “our”), including all related websites, dashboards, tools, and services provided to brokers, sellers, and buyers. By using the platform, you agree to be bound by these Terms.

DomainBroker operates from Calgary, Alberta, Canada. All pricing, fees, and transactions are processed in Canadian Dollars (CAD).

2. User Roles and Accounts

DomainBroker supports multiple user roles: Broker, Seller, and Buyer. You must provide accurate information during registration and maintain the confidentiality of your login credentials. We may suspend or terminate accounts that violate these Terms or pose security risks.

3. Platform Features and Workflow

The platform provides marketplace listings, offers, negotiations, payment processing, transfer verification, payout release, dashboards, messaging, notifications, billing, and payout history. All data is provided “as is” and may be subject to correction.

4. Pricing, Fees, and Currency

All pricing, commissions, payouts, and billing records are processed in CAD. Currency conversion performed by third‑party payment providers is outside our control.

5. Use of Third‑Party Payment Providers

Payments may be processed through Stripe, PayPal, or Escrow.com. These providers have their own terms and privacy policies. We are not responsible for payment failures, delays, chargebacks, or conversion fees.

6. Acceptable and Unacceptable Account Use

Acceptable use includes listing domains you own, submitting genuine offers, providing accurate information, and completing transfers in good faith.

Unacceptable use includes fraud, misrepresentation, listing unauthorized domains, manipulating offers, illegal financial activity, harassment, security breaches, uploading malicious files, or using bots to disrupt the platform.

7. Warranties and Disclaimers

7.1 Broker Plan Warranty — 30‑Day Satisfaction Warranty

Quarterly, semi‑annual, and annual Broker Plans include a full 30‑day satisfaction warranty. If you are not completely satisfied, you may cancel within 30 days for a full refund.

7.2 Marketplace Buyer Warranty — 100% Transfer Guarantee

All Marketplace purchases are backed by our 100% Transfer Guarantee. If a domain transfer cannot be completed between the seller and the buyer’s registrar, the buyer receives a full refund.

7.3 General Platform Disclaimer

Except for the warranties explicitly stated above, DomainBroker is provided on an “as is” and “as available” basis. We do not guarantee that any domain will sell, that any offer will be accepted, or that any transaction will complete successfully.

8. Limitation of Liability

DomainBroker shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the total fees paid by you in the three months preceding any claim.

9. Indemnification

You agree to indemnify and hold harmless DomainBroker from claims arising out of your use of the platform, violation of these Terms, or use of third‑party payment providers.

10. Changes to the Platform and Terms

We may modify or discontinue any part of the platform at any time. Updated Terms will be posted with a revised “Last updated” date.

11. Termination

We may suspend or terminate accounts for violations or security concerns. You may request account closure at any time.

12. Governing Law

These Terms are governed by the laws of Alberta, Canada. Disputes shall be resolved in the courts of Calgary, Alberta.
